Choosing your state and structure
An LLC is formed under state law. Ownership rules and federal tax classification depend on the circumstances. Share where the business will operate, the owners’ countries of residence and whether there will be one or several members. A state choice should consider ongoing obligations as well as initial costs.
Preparing the filing
Provide your proposed name and alternatives, a clear description of the activity and the intended ownership structure. Confirm the registered agent, addresses and any signatures required for the selected state. Do not assume an agent, address service or operating agreement is included without written confirmation.
After formation
Check the issued documents against the approved details and keep copies. Discuss the EIN, licensing, tax advice and continuing obligations that apply to the business. A formation document alone does not provide a bank account, immigration status or permission for every business activity.
